The Succession Crisis

A few months back on LinkedIn, I shared a post about how the failure rate for first-generation family business transfers hovers around 70%—a number that’s held steady for decades. That sobering stat was first spotlighted by Dr. W.G. Dyer back in 1986, when he unpacked the psychological and structural hurdles that derail succession in family-owned enterprises.

In that post, I didn’t pitch a solution—because I didn’t have one yet. I just knew there had to be a better way to approach succession. That line of thinking eventually led me to begin developing what I now call the Entrepreneurial Transfer System (ETS)—a framework that reimagines succession not as handing off a product or service, but as transferring the founder’s entrepreneurial capability. But we’ll come back to that—because the truth is, most businesses don’t fail at succession.

They fail long before they get there.

The 12 Fatal Issues destroy small businesses before a transfer ever becomes an option—and if we don’t address them, legacy won’t even get a shot.

WHY THESE 12 FATAL ISSUES MATTER

“Survival isn’t random. It’s systemic.”

Roughly 20% of small businesses fail in their first year, and about 50% within five years. These aren’t just unlucky failures. Most are preventable and self-inflicted: poor financial management, lack of planning, failure to adapt. These issues are rarely isolated—they compound and circle, waiting for the right moment to collapse everything you built.

These issues form the core of my book Everything Matters!—a survival guide based on 30+ years working in small business, nearly 20 of those with my dad. And the more I saw, the more I realized: these 12 issues are universal.

THE 12 FATAL ISSUES

1. Insufficient Capitalization

💡 You don’t need to start lean. You need to start resilient.

2. Poor Cash Flow Management

💡 Profit is theory. Cash flow is survival.

3. Inadequate Financial Control

💡 If your books are a mess, your decisions will be too.

4. Regulatory Compliance Issues

💡 Get legit before you get lucky.

5. Neglecting Customer Needs and Service

💡 Retention is cheaper than acquisition.

6. Ineffective Marketing

💡 Visibility does not equal viability.

7. Poor Location or Online Presence

💡 Show up in both places—physical and digital.

8. Overdependence on a Single Client

💡 You’re not running a business—you’re freelancing.

9. Lack of Strategic Planning

💡 You can’t hustle your way out of a bad direction.

10. Human Resource Problems

💡 A bad hire costs more than a missed sale.

11. Failure to Adapt to Market Changes

💡 Innovation isn’t optional. It’s oxygen.

12. Management Incompetence

💡 Being good at your craft doesn’t make you a good manager.

THE DOMINO EFFECT: HOW THESE ISSUES INTERACT

These fatal issues rarely show up alone. They’re more like dominos. One falls, the rest follow.

A bad hire leads to leadership friction. That causes communication breakdowns. Suddenly, job costing is inconsistent, and your pricing gets out of whack. You realize you’ve been undercharging and overpromising. Now you’re bleeding cash—and people blame the symptom (cash flow) instead of the root cause (financial controls, bad hires, weak leadership). This is how small businesses fail: death by a thousand cuts.

KNOWING IS HALF THE BATTLE

“Read this list like a mirror, not a warning label.”

My dad used to say, “You don’t know what you don’t know.” It was both redundant and profound. This list? You need to know it. Use it as a diagnostic tool—an honest check-in with your organization to spot where these fatal issues could pierce your defense. If your business is skating by on workarounds, that’s not scaling—it’s surviving. And survival isn’t the goal. Legacy is.
