1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Wrestling Against Time, LLC (“Company,” “we,” “us,” or “our”), the owner and operator of 12fatalissues.com (the “Platform”). By accessing or using the Platform in any manner, including registering for an account, participating in forum discussions, completing diagnostics, or purchasing any product or service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.
If you do not agree to these Terms, you must immediately discontinue all use of the Platform.
2. Eligibility
The Platform is intended solely for users who are 18 years of age or older and are accessing the Platform in connection with the operation or ownership of a business. By using the Platform, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms. We do not knowingly collect information from or direct content to individuals under the age of 18.
3. Account Registration and Security
Certain features of the Platform, including the members-only forum and premium diagnostic tools, require you to create an account through our membership system (powered by PMPro). When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information as necessary
- Keep your login credentials confidential and not share them with any third party
- Notify us immediately of any unauthorized access to or use of your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete, or if you violate these Terms.
4. Description of Services
The Platform provides business owners with access to the following:
- The Fatal Issues Framework™, including diagnostic tools, structural assessments, and the Fatal-48™ diagnostic
- Business profile classifications and Heat Map reports generated from diagnostic results
- A members-only private forum for discussion among Platform members (accessible only to paid subscribers)
- Educational content, guides, and resources related to the 12 Fatal Issues framework
- Access to The Trapped Operator™ book content and supplementary materials
- Membership account management through PMPro
We reserve the right to modify, expand, discontinue, or restrict any feature or service at any time. We will provide reasonable notice of material changes where practicable.
5. Membership, Subscriptions, and Payment
5.1 Membership Tiers
The Platform offers free and paid membership tiers. Access to premium features, including the full Fatal-48™ diagnostic and the private forum, requires a paid subscription. Specific pricing, features, and trial terms for each tier are disclosed at the point of purchase and are subject to change.
5.2 Payment Processing
All payments are processed by Stripe, Inc. By completing a purchase, you also agree to Stripe’s applicable terms and policies. The Company does not store full payment card data on its servers.
5.3 Subscriptions and Renewal
Paid memberships are subscription-based and will automatically renew at the end of each billing period unless you cancel prior to renewal. You authorize us to charge your payment method on file for each renewal period. Cancellation instructions are available in your account dashboard.
5.4 Refund Policy
Refund eligibility, if any, is stated at the point of purchase. Unless otherwise specified, all subscription fees are non-refundable. If you believe a charge was made in error, contact us promptly using the information in Section 17.
6. Free Trial Access
We may offer complimentary trial access to premium Platform features, including access provided via a code included with the purchase of The Trapped Operator™ book. Trial access is subject to these Terms. Following the trial period, continued access to premium features requires a paid subscription. We reserve the right to modify or discontinue trial offerings at any time.
7. Intellectual Property
All content on the Platform, including but not limited to the Fatal Issues Framework™, the Fatal-48™, The F.O.B. Profile™, The Trapped Operator™, diagnostic tools, Heat Map reports, written content, graphics, software, and all associated trademarks and trade dress, are the exclusive property of Wrestling Against Time, LLC or its licensors and are protected under applicable United States intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own business purposes. You may not:
- Reproduce, redistribute, resell, or sublicense any Platform content or tools
- Use the framework, diagnostic methodology, or associated IP for commercial purposes without a written license from the Company
- Reverse engineer, decompile, or extract the underlying logic of any diagnostic tool
- Remove or obscure any proprietary notices or branding
8. Forum Rules and User-Generated Content
8.1 Forum Access
The members-only forum is accessible exclusively to active paid subscribers. Access is not publicly visible and is subject to the conduct standards set forth below.
8.2 Acceptable Use
When participating in the forum, you agree to:
- Engage respectfully and professionally with other members
- Post content that is relevant, accurate, and constructive
- Maintain the confidentiality of other members’ business information shared in the forum
- Refrain from soliciting, advertising, or promoting products or services without explicit Company authorization
8.3 Prohibited Forum Conduct
You may not post content that:
- Is defamatory, harassing, discriminatory, or threatening
- Infringes on any third party’s intellectual property or privacy rights
- Contains spam, unsolicited advertising, or promotional material
- Includes false, misleading, or fraudulent information
- Violates any applicable law or regulation
8.4 Ownership of User Content
You retain ownership of content you post in the forum. By posting, you grant Wrestling Against Time, LLC a non-exclusive, royalty-free, worldwide license to display and use such content within the Platform for operational purposes. We do not claim ownership of your forum posts and will not use them for commercial purposes outside the Platform without your consent.
8.5 Content Moderation
We reserve the right, but not the obligation, to review, edit, or remove any forum content at our sole discretion. Violations of these rules may result in content removal, account suspension, or termination without refund.
9. Diagnostic Tools and Results
All diagnostic tools, including the Fatal-48™ assessment and associated business profile outputs, are provided for general educational and informational purposes only. Diagnostic results reflect structural patterns based on your self-reported inputs and do not constitute professional business, legal, financial, or accounting advice.
Results are not a guarantee of any business outcome. You are solely responsible for decisions you make in reliance on diagnostic outputs. We strongly encourage you to seek qualified professional advice in connection with any significant business decision.
10. Email Communications
By creating an account and providing your email address, you consent to receive transactional emails related to your account and membership. Where you have separately opted in, you may also receive marketing communications. You may manage your communication preferences in your account settings or by contacting us directly. Transactional emails necessary for account management will continue regardless of marketing opt-out status.
11. Third-Party Services
The Platform integrates with third-party services including Stripe, PMPro, Supabase, Mailchimp, Postmark, Google Analytics, Google Tag Manager, Meta Pixel, and Hotjar. Your use of these integrated services is subject to those parties’ own terms and privacy policies. The Company is not responsible for the practices of third-party service providers.
12. Confidentiality of Member Information
The members-only forum is a private space. Members are expected to treat the business information, strategies, and circumstances shared by other members as confidential. You agree not to share, publish, or otherwise disclose other members’ forum posts or business information outside of the Platform without their explicit consent.
13. Disclaimers
THE PLATFORM AND ALL CONTENT, TOOLS, DIAGNOSTICS, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. DIAGNOSTIC RESULTS ARE PROVIDED WITHOUT ANY REPRESENTATION THAT THEY WILL PRODUCE ANY PARTICULAR BUSINESS OUTCOME.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WRESTLING AGAINST TIME, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
15. Indemnification
You agree to defend, indemnify, and hold harmless Wrestling Against Time, LLC and its members, managers, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your use of the Platform, or your user-generated content.
16. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms or the Platform shall be resolved exclusively in the state or federal courts in Florida.
WAIVER OF CLASS ACTIONS: TO THE EXTENT PERMITTED BY LAW, YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered members or by posting a notice on the Platform, and the Effective Date will be updated. Your continued use of the Platform following notice of changes constitutes acceptance of the revised Terms.
18. Termination
We may suspend or terminate your access to the Platform at any time for violation of these Terms, non-payment of fees, or for any other reason at our sole discretion. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitation of liability, and indemnification.
